• Suggest improvements.
• Help shape GolfToon into a better platform for real golf operations.

IMPORTANT: PLEASE READ THIS AGREEMENT CAREFULLY. By applying for, accepting, or using Founding Tester status, you acknowledge that you have read, understood, and agree to be bound by this Founding Tester Agreement, as well as GolfToon's Terms of Service, Privacy Policy, and Beta Program Terms. If you do not agree, do not apply or participate.

1. Parties and Purpose

This Agreement is between GolfToon and the approved participant. The purpose is to allow a limited number of early users to test and provide feedback on GolfToon.

2. Limited Program

The program is limited to ten (10) Founding Testers. GolfToon reserves the sole right to approve, reject, or remove participants at any time.

3. License Grant

Subject to your ongoing compliance with this Agreement and the GolfToon policies, GolfToon grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use GolfToon solely for evaluation, testing, feedback, and participation in golf-related activities supported by the platform during the term of your participation.

This includes the use of GolfToon for testing tournaments, leagues, golf course operations, scoring systems, pairings, handicaps, and other golf-related workflows intended to assist in evaluating the platform.

You may not:

• Reverse engineer, decompile, disassemble, or attempt to derive source code.
• Copy, modify, distribute, sublicense, lease, rent, or resell the software.
• Circumvent security measures or access controls.
• Access systems or data without authorization.
• Use GolfToon in violation of applicable laws.
• Use GolfToon to develop, improve, benchmark, or support a competing product or service.

All rights not expressly granted remain reserved by GolfToon.

4. Confidentiality

You may have access to confidential information, including unreleased features, roadmaps, business plans, non-public bugs, and development plans. You agree to keep such information confidential and not disclose or use it except as necessary to provide feedback to GolfToon.

5. Feedback and Intellectual Property

GolfToon welcomes suggestions, ideas, bug reports, feature requests, recommendations, and other feedback.

By submitting feedback, you grant GolfToon a perpetual, irrevocable, worldwide, royalty-free right to use, modify, reproduce, publish, distribute, commercialize, incorporate, and otherwise exploit such feedback for any purpose without compensation, attribution, approval, or further obligation to you.

To the extent any ownership rights may exist in such feedback, you hereby assign all right, title, and interest in that feedback to GolfToon.

You acknowledge that:

• Submission of feedback does not create any ownership interest in GolfToon.
• Submission of feedback does not create any right to compensation, royalties, revenue sharing, equity, or profit participation.
• GolfToon may independently develop features, functionality, or ideas similar or identical to feedback submitted by participants.
• GolfToon retains all rights, title, and interest in the platform, software, technology, branding, documentation, updates, modifications, and derivative works.

6. Benefits

While in good standing, approved Founding Testers receive:

• Complimentary access to GolfToon.
• Access to current and future premium features.
• Priority feedback consideration.
• Recognition as a Founding Tester unless anonymity is requested.

"Lifetime access" means access for the operational lifetime of the GolfToon platform. It does not guarantee perpetual operation, no future fees for unrelated new products, or continued service indefinitely.

7. Public Recognition

Unless anonymity is requested, approved Founding Testers may be publicly recognized by GolfToon as participants in the Founding Tester Program.

Such recognition may include:

• First name only;
• First name and last initial;
• Golf course affiliation;
• Founder number designation (e.g., Founder #1, Founder #2);
• Other limited identifying information chosen by GolfToon for recognition purposes.

GolfToon will make reasonable efforts to respect privacy preferences communicated by Founding Testers. Participants may request anonymity at any time by contacting GolfToon.

GolfToon reserves the right to modify, remove, or discontinue public recognition at any time.

8. Tester Obligations

You agree to use GolfToon in good faith, report bugs promptly, provide constructive feedback, and comply with all GolfToon policies.

9. No Compensation or Employment

Participation is voluntary. You are not entitled to compensation, equity, royalties, or other payments. This is not an employment, contractor, partnership, or agency relationship.

9.5 Eligibility

Participants must be at least eighteen (18) years of age or the age of majority in their jurisdiction, whichever is greater.

By participating, the participant represents and warrants that they satisfy all eligibility requirements necessary to enter into this Agreement.

10. Data and Privacy

Your use is governed by the Privacy Policy. You are responsible for any data you input and should not upload sensitive information during beta testing unless you accept the risks of potential data loss or exposure.

10.5 Beta Software Acknowledgement

Participant acknowledges that GolfToon is under active development and may contain bugs, defects, errors, inaccuracies, interruptions, security vulnerabilities, incomplete functionality, or other unexpected behavior.

Participant understands and agrees that:

• Tournament results, standings, handicaps, pairings, scores, statistics, leaderboards, reports, and other outputs may be inaccurate or incomplete.
• Data entered into GolfToon may be lost, modified, corrupted, delayed, duplicated, or become unavailable.
• GolfToon may experience downtime, outages, service interruptions, or feature changes without notice.

Participant is solely responsible for independently verifying tournament results, scoring, units Earned, standings, and other operational decisions and shall not rely exclusively upon GolfToon for critical tournament administration.

11. Term and Termination

This Agreement begins upon approval and continues until terminated. GolfToon may terminate or revoke Founding Tester status at any time, with or without notice, for violations, abuse, misuse, program changes, or conduct that harms GolfToon.

If the program is discontinued but your status has not been revoked for cause, approved testers will retain benefits for the operational lifetime of the then-current GolfToon platform.

11.5 Service Changes

GolfToon reserves the right, at any time and without liability, to modify, suspend, discontinue, restrict, remove, replace, or alter any feature, functionality, service, program, beta offering, or aspect of the platform.

Nothing in this Agreement shall be interpreted as a guarantee that any particular feature, functionality, integration, benefit, or service will remain available for any period of time.

12. Disclaimer of Warranties

THE SERVICE AND ALL BETA FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, OR NON-INFRINGEMENT. GOLFTOON DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR FREE OF HARMFUL COMPONENTS.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GOLFTOON SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR BUSINESS. GOLFTOON'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

14. Indemnification

You agree to indemnify and hold GolfToon harmless from claims, losses, damages, liabilities, costs, and expenses arising from your violation of this Agreement, misuse of the service, or violation of applicable law.

15. Governing Law and Disputes

This Agreement is governed by the laws of the State of Oregon.

Any dispute, claim, or controversy arising out of or relating to this Agreement or the use of GolfToon shall first be attempted to be resolved informally through good-faith discussions.

If such dispute cannot be resolved informally, GolfToon reserves the right to require that disputes be resolved through binding arbitration conducted in the State of Oregon.

To the fullest extent permitted by law, participants waive any right to participate in a class action, class arbitration, representative action, or collective proceeding.

If arbitration is determined to be unenforceable under applicable law, any remaining disputes shall be resolved exclusively in the state or federal courts located in Oregon.

16. Miscellaneous

This Agreement, together with the GolfToon Terms of Service, Privacy Policy, and Beta Program Terms, constitutes the entire agreement regarding Founding Tester participation. If any provision is held invalid, the remainder remains enforceable. GolfToon may update this Agreement with notice, and continued participation constitutes acceptance.
